Now that the Companies Act 2006 is finally fully in force practitioners need to be fully up to date with all the changes. This updating course covers the significant changes to company law made by the Companies Act 2006 and the action which is needed as a result.

The course concentrates on the provisions brought into force on 1 October 2009, including action required as a result of the changes to share capital and changes which should be considered to articles of association and the impact of the new Model articles.

Course Content:

Formation and constitution of companies
 The new process for company formation.
 The new memorandum of association and the abolition of the objects clause.
 New provisions for entrenching rights in the articles.
 Company names and procedure for change of name.

Shares and maintenance of capital
 Abolition of authorised share capital.
 Changes to the law on allotment of shares and pre-emption rights on issue of shares.
 Alteration of share capital (including the power to redenominate shares).
 Intra-group transfers, distributions and Aveling Barford.

A company and its directors
 Directors and directors’ residential addresses.
 Directors’ duties including conflicts of interest and disclosure of directors’ interests.

Private companies
 Amendments to the articles and adopting the new Model Articles.
 Deemed authority for the allotment of shares.
 The new procedure for reductions of capital without court approval.
 Abolition of financial assistance.
 The annual return.
 Other deregulation for private companies.

Public companies
 Disclosure of interests in shares.
 Corporate governance.
 Amendments to the articles.
 Changes to annual shareholder resolutions.
 Public company meetings and changes to members’ rights.
